Please read these Terms and Conditions ('Terms') carefully before using the http://www.meridianmakeup.com website and the services offered by Meridian Makeup ('us', 'we', or 'our'). By accessing or using our website, purchasing our products, engaging in wholesale programs, or utilizing our consulting services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.


1. Intellectual Property Rights

The content, features, and functionality provided on our website, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by Meridian Makeup, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Our proprietary makeup cleaners and applicators, as well as the Meridian Makeup brand itself, are also our exclusive property. The Meridian Makeup name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Meridian Makeup or its affiliates or licensors. You must not use such marks without the prior written permission of Meridian Makeup. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

2. Terms of Sale (E-commerce & Wholesale)

2.1. E-commerce Purchases

When you purchase M·A·C cosmetics or other beauty products through our online store, you agree to comply with our current pricing, payment terms, shipping policies, and return conditions as detailed on the respective product and checkout pages. All prices are listed in USD. We reserve the right to refuse or cancel orders at our sole discretion. Refer to our dedicated Returns Policy for particulars on exchanges and refunds.

2.2. Wholesale Distribution

For salons, spas, and other businesses engaged in the wholesale distribution of Meridian Makeup proprietary products or M·A·C cosmetics, specific account setup procedures, ordering processes, payment schedules, and resale policies apply. These are outlined in our formal Wholesale Agreement, which must be executed prior to any wholesale transactions. All wholesale accounts require prior approval and adherence to minimum order quantities. 3. Consulting Services Engagement

Engagement for any of Meridian Makeup's advanced consulting services, including brand strategy, marketing for beauty lines, retail space design, or visual merchandising consultation, is governed exclusively by a separate, mutually signed Master Services Agreement (MSA) or Statement of Work (SOW). These formal documents will explicitly define the scope of work, deliverables, timelines, payment terms, intellectual property, and confidentiality provisions. These website terms cosmetics do not supersede or replace the terms set forth in any such executed professional service agreements.

4. Limitation of Liability & Governing Law

To the fullest extent permitted by applicable law, Meridian Makeup, nor its directors, employees, partners, agents, suppliers, or affiliates, shall be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
